<p>Located in western Washington State, Hoquiam is a small town with an interesting and charming present. The settlement&#8217;s place near stretches of wooded land and the Pacific Ocean have influenced the past as well as the present. The story of the lumber and shipping industries is the story of the town.</p>
<p>Before European settlers arrived, the two main tribes that lived in the area that became Grays Harbor County were the Chehalis and the Quinault. Their descendants still live in the area, continuing their tribal traditions and communities to this day.</p>
<p>The first white settler in the area was a man named James Karr. Not much later, Ed Cambell moved to the settlement, becoming the first postmaster of Hoquiam. Today, his house stands as the oldest home in town. Other settlers followed, and by 1890, the settlement had a population of over 1300 people.</p>
<p>Around that time, logging became the primary industry for Grays Harbor. From the 1880&#8242;s until the 1930&#8242;s, the Northwestern Lumber Company thrived, providing jobs and a supporting economy to the area. The lumber industry was responsible for eventually bringing a railroad to the town, and therefore more settlers and investors. The Northwestern Lumber Company maintained a virtual monopoly on the lumber business until the Twentieth Century.</p>

</script></div><p>The past century and a half has seen hundreds of logging businesses work the local forests. The Polson Logging Company had the greatest impact on the town. Currently, the Polson Museum, operating in the old Polson mansion, teaches visitors about the history of the local logging industry. Exhibits and photographs show the lifestyle of past loggers. The museum has almost 10,000 artifacts concerning local history and the logging industry in the area.</p>
<p>Throughout the Twentieth Century, Grays Harbor, like the rest of the country, experienced ups and downs in the economy. As a one-industry town, Hoquiam was hurt by the downturn of the Great Depression and the labor strikes of the following years. By the last two decades of the Twentieth Century, logging was no longer a booming business, especially in Grays Harbor. Logging&#8217;s effect on the environment and animals&#8217; habitats caused the government to pass laws restricting logging, thus causing layoffs and fewer businesses.</p>
<p>However, the locals have shown great spirit in fighting to stay in business. The town is home to many tourist attractions such as the Logger&#8217;s Playday, the Shorebird Festival, and the Hoquiam Riverfest. These events celebrate the past while serving the future. By bringing visitors to the town, the festivals fuel money and investment into the economy. The town has worked to restore sites of historical significance and to become a resource for historical research.</p>
<p>Today, the community of Hoquiam, WA thrives and continues to work to build a better future. The residents display pride in their history as well as in their current achievements. They constantly strive to bring new businesses and events into the area, and to rebuild what has fallen into memory. Logging is no longer Grays Harbor&#8217;s only industry. The area has found the greatest resource in its people.</p>

<p>Registered sale of shares of stocks previously sold in the primary offering to the public is known as secondary distribution, more commonly known as secondary market offering. While in initial public offering the proceeds from the sale of shares of stocks goes to the issuing company, in secondary market offering, the money arising from the sale of the shares of stocks goes to the investors.</p>
<p>Secondary market offering should be distinguished from primary market offering. Primary market offering refers to initial offering of shares of stock to the market while secondary market offering refers to the subsequent sale of previously issued shares to the market. Considering that in the secondary market offering no new shares are created, it does not dilute the concentration of the existing stockholders interest. This is the reason why it is said to be non-dilutive.</p>
<p>Among the reasons why stockholders who avail of initial public offering opted to sell their shares thru secondary market offering is to expand their investments. A good illustration of this is the offering of shares to the secondary market of the shares previously acquired by the directors and its related parties from the initial public offering. As the ordinary course of issuance of shares goes, it is the directors and related parties of the issuing company who originally acquire shares arising from the initial issuance of shares to the public.</p>
<p>In cases when the market price of the shares of stocks went up after initial public offering, those who originally acquire shares from initial public offering mostly decide to sell their shares in the secondary market offering. Those who trade or sell their shares earn profit arising from the price difference between the acquisition cost and the selling price of the subsequent sale. This benefit is in addition to the chance of diversifying their investment.</p>

<p>Secondary market offering is different from follow-on offering also known as dilutive secondary offering or subsequent offering. While no shares of stocks are created in the secondary market offering which in effect do not dilute the shareholders interest, however in follow-on offering, new shares are created by the issuing company and float it to market thereby diluting existing shares of the current stockholders. This is the reason why follow-on offering is also called dilutive secondary offering.</p>
<p>Secondary market offering refers to offering of shares of stock in the secondary market while follow-on offering or subsequent offering refers to subsequent offering after the initial offering to primary market or the succeeding offering by the issuer of its shares of stocks to the primary market. Hence, in short, any subsequent offering to the primary market after the initial one, which could be the second or third offering, are referred to as follow-on offering.</p>
<p>To better understand the difference it is important to note the effect of making the secondary market offering and the follow-on offering to the company. Secondary market offering have no dilutive effect to the shareholders while the follow-on offering is dilutive. Another distinction is that the proceeds from sale of shares in the secondary market offering goes to the pocket of the stockholder while the proceeds from the sale of shares offered in the follow-on offering goes to the pocket of the issuer company.</p>
